1. About Wardly
Wardly ("Wardly", "we", "us", "our") is a SaaS analytics platform operated by Market Catalyst Enterprises LLC, a company registered in New Mexico, USA. Wardly is accessible at wardly.app.
By creating an account or using the Wardly service, you ("User", "you") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use Wardly.
These Terms are between you and Market Catalyst Enterprises LLC. Payments for Wardly subscriptions are processed by Paddle.com, who acts as the Merchant of Record and is responsible for all billing, tax collection, and payment processing.
2. The Service
Wardly connects to your Google Analytics (GA4) account and uses automated processing to surface actionable insights about your e-commerce business. The service delivers periodic insight reports based on your GA4 data.
We reserve the right to modify, update, or discontinue features of the service at any time, provided we give you reasonable notice of any material changes that affect your paid subscription.
3. Accounts and Eligibility
You must be at least 18 years old and have the legal capacity to enter into binding agreements to use Wardly. By creating an account, you represent that you meet these requirements.
You are responsible for maintaining the security of your account credentials. You must notify us immediately at support@wardly.app if you suspect any unauthorized access to your account. You are responsible for all activity that occurs under your account.
4. Free Trial
Wardly offers a 7-day free trial for new subscribers. A valid payment method is required to begin the trial. You will not be charged during the trial period. At the end of the 7-day trial, your subscription will automatically begin and your payment method will be charged the applicable subscription fee, unless you cancel before the trial ends.
You may cancel at any time during the trial period at no charge. After the trial period ends and billing begins, our standard Refund Policy applies.
Free trials are available to new users only. Market Catalyst Enterprises LLC reserves the right to determine eligibility for free trials.
5. Subscription Plans and Pricing
Wardly offers the following subscription plans:
- Monthly Plan: $4.99 per month, billed monthly.
- Annual Plan: $39.99 per year, billed annually (equivalent to approximately $3.33 per month).
All prices are in US Dollars. Applicable taxes are calculated and collected by Paddle, our Merchant of Record, based on your billing location.
Subscriptions automatically renew at the end of each billing period unless cancelled. You will be notified before any price changes take effect on your subscription. We reserve the right to change pricing at any time; price changes will only apply at the start of your next billing period.
6. Billing and Payment
All billing is handled by Paddle.com, who acts as the Merchant of Record for all Wardly transactions. By subscribing to Wardly, you are entering into a purchase agreement with Paddle, not directly with Market Catalyst Enterprises LLC, for payment purposes.
You authorize Paddle to charge your payment method on a recurring basis for the applicable subscription fee until you cancel. Payment is due at the start of each billing period (monthly or annual).
If payment fails, Paddle will attempt to recover the payment. If payment cannot be recovered, your access to Wardly may be suspended until payment is resolved. For billing inquiries, contact us at support@wardly.app or contact Paddle directly via paddle.net.
7. Cancellation
You may cancel your subscription at any time from your account settings or by contacting us at support@wardly.app. Cancellation takes effect at the end of your current billing period. You will retain access to Wardly until the end of the period for which you have paid.
Cancelling your subscription does not automatically delete your account or data. To request account and data deletion, please contact us separately at support@wardly.app.
8. Refunds
Our Refund Policy is incorporated into these Terms by reference. We offer a 30-day money-back guarantee for all new paid subscriptions. Refunds are processed by Paddle as our Merchant of Record.
9. Google Analytics Integration
Wardly connects to your Google Analytics account via Google's official OAuth authorization flow. By authorizing this connection, you grant Wardly read-only access to your GA4 property data. You may revoke this access at any time through your Google account settings.
You represent and warrant that you have the right and authority to grant Wardly access to the GA4 properties you connect. You must not connect GA4 properties belonging to third parties without their explicit authorization.
Wardly's use of your Google Analytics data is governed by our Privacy Policy and complies with Google's API Services User Data Policy.
10. Acceptable Use
You agree not to:
- Use Wardly for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to gain unauthorized access to any part of the Wardly platform or its underlying infrastructure
- Scrape, copy, or redistribute Wardly's data, reports, or intellectual property without authorization
- Use Wardly to process data for which you do not have lawful authorization
- Interfere with or disrupt the integrity or performance of the Wardly service
- Reverse engineer, decompile, or attempt to extract the source code of Wardly
- Resell, sublicense, or transfer your Wardly subscription to any third party
11. Intellectual Property
Wardly and all related content, features, and technology are owned by Market Catalyst Enterprises LLC and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use Wardly solely for your internal business purposes during your subscription period.
You retain ownership of your Google Analytics data and any raw data you provide to Wardly. You grant us a limited license to access and process that data solely to provide the Wardly service.
12. Disclaimers
Wardly provides automated analytics insights based on your GA4 data. These insights are generated algorithmically and are not professional financial, marketing, or business advice. You should not rely solely on Wardly's outputs for major business decisions.
Wardly is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or uninterrupted availability.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Market Catalyst Enterprises LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of profits, or loss of business, arising from your use of or inability to use Wardly, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claims arising out of or related to these Terms or the Wardly service shall not exceed the total amount paid by you to us in the 12 months preceding the claim.
14. Indemnification
You agree to indemnify and hold harmless Market Catalyst Enterprises LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your violation of these Terms, your use of Wardly, or your infringement of any third-party rights.
15. Termination
We reserve the right to suspend or terminate your access to Wardly at any time if we determine, in our sole discretion, that you have violated these Terms or that continued provision of the service would be unlawful or harmful. In such cases, we will notify you and process a pro-rated refund for any unused subscription period where required by law.
16. Governing Law
These Terms are governed by the laws of the State of New Mexico, USA, without regard to its conflict of law provisions. Any disputes arising in connection with these Terms or the Wardly service shall be subject to the jurisdiction of the courts of New Mexico, USA.
Note: Payment disputes are handled by Paddle under their own terms and may be subject to separate governing law provisions.
17. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or a notice within the Wardly application at least 14 days before the changes take effect. Continued use of Wardly after the effective date of any changes constitutes your acceptance of the revised Terms.
